1. Agreement to Terms

By creating an account or using the Decisio platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the Service.

2. The Service

Decisio is a decision governance platform that provides structured workflows for formal motions, voting, and resolution recording. The Service is designed for boards, committees, strata bodies, and other organisations that require documented, auditable decision-making.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

The Service is not intended for use by anyone under the age of 16. By creating an account, you confirm that you are at least 16 years old.

4. Subscriptions and Billing

Decision-based pricing

Decisio charges per decision opened, not per user or seat. A decision is counted when you open an issue for discussion. Draft issues are free — you may create, configure, and edit issues without using a decision credit. Each plan includes a monthly decision allowance that resets at the start of each billing period.

Overage

If you exceed your monthly decision allowance, additional decisions are billed at your plan's overage rate. Overage charges are applied to your next invoice. You will not be locked out of the Service due to overage — decisions will continue to be available and billed accordingly. The Free plan has a hard cap and does not support overage.

Decision packs

On paid plans, you may pre-purchase decision packs at a reduced per-decision rate. Pack credits are applied before overage billing. Pack credits carry over across billing periods and expire 12 months after purchase. We will send a reminder email 60 days before pack credits expire.

Annual billing

Annual subscriptions are billed upfront for 12 months and receive a discount compared to monthly billing. Annual subscriptions are not refundable for unused periods except as required by applicable law.

Payment processing

Payments are processed by Stripe. We do not store your payment card details. By providing payment information, you authorise us to charge your nominated payment method for subscription fees, overage charges, and decision pack purchases.

Cancellation

You may cancel your subscription at any time through your workspace billing settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the period for which you have paid.

5. Data Ownership

You own your data. All issues, motions, votes, exhibits, comments, and resolutions created in your workspace are your organisation's data. Bray Capital Pty Ltd does not claim any licence, ownership, or rights over the content of your governance records beyond what is necessary to operate the Service.

We will not use your governance data for advertising, training machine learning models, or any purpose other than providing and improving the Service to you.

6. Data Handling and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you agree to the terms of our Privacy Policy.

All governance data is hosted in Sydney, Australia, via Supabase on AWS ap-southeast-2 infrastructure. For further information about data security, see our Security & Compliance page.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, threaten, or harm any person
• Upload or transmit malicious code or content
• Attempt to gain unauthorised access to other accounts or systems
• Use the Service in a manner that could impair its operation or interfere with other users
• Scrape or extract data from the Service by automated means without our written consent
• Resell or sublicence the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.

8. Service Availability

We make reasonable efforts to ensure the Service is available and reliable. We do not guarantee uninterrupted access or a specific uptime level. We may suspend access for maintenance, updates, or circumstances beyond our reasonable control.

We will notify you of planned maintenance periods where reasonably practicable.

9. Intellectual Property

The Decisio platform, including its software, design, branding, and documentation, is owned by Bray Capital Pty Ltd and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal governance purposes in accordance with these Terms.

10. Termination

By you

You may cancel your subscription and close your workspace at any time. Following cancellation, your data is retained for 90 days to allow you to export your governance records. After 90 days, your data is scheduled for deletion.

By us

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay amounts owed, or if we are required to do so by law. Where reasonably practicable, we will provide notice before termination.

Data export

Before termination takes effect, we recommend exporting your governance records using the export features available within the Service. Following the 90-day retention period, deleted data cannot be recovered.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Bray Capital Pty Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data, loss of business, or loss of revenue.

Our total liability to you for any claim arising from your use of the Service is limited to the amounts you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian consumer law.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

The effective date at the top of this page indicates when the current version was last updated.
